The legal definition may differ from country to country (or trade blocs) but in general:
Withdrawal = A situation where no violation is involved or the violation is minor and product is not subject to seizure under current regulatory agencies
Recall = a voluntary action by the firm that marketed the product or an action required by a regulatory agency. Product recall is an efficient and effective means of removing sizable quantities of products from the marketplace. The alternative to product recall is seizure or other legal action by regulatory agencies

Could anyone give a hand with the main differences between Withdraw and Recall?.
As you've posted this in one of the BRC forums, it's worth noting that the standards have their own definition of these terms - effectively being that a recall is involving final consumers, whereas a withdrawal does not. In the case of the Packaging standard, the relevant definitions are in Appendix 6 on page 109 of the standard:
Product recall - Any measures aimed at achieving the return of an unfit product from customers and final consumers.
Product withdrawal - Any measures aimed at achieving the return of out-of-specification or unfit products from customers, but not final consumers.
